We provide web design, development, digital marketing, SEO, and related services ("Services") as described in your specific project proposal or agreement. The specific scope, deliverables, and timeline for your project will be outlined in a separate Statement of Work (SOW) or Proposal.

• Modifications: We reserve the right to modify, suspend, or discontinue the Services (in whole or in part) at any time, with or without notice to you, though we will make reasonable efforts to complete active projects.
• Third-Party Tools: Our Services may involve the use of third-party tools, hosting providers, or plugins. We are not responsible for the availability or performance of these third-party services.

2. Payment Terms

You agree to pay all fees and charges associated with your use of the Services in accordance with the pricing and payment terms presented to you at the time of purchase or as set forth in your Proposal.

3. Intellectual Property Rights

Unless otherwise indicated, the Website and Services are our proprietary property.

• Our IP: All source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us.
• Your Deliverables: Upon full payment of all fees, we grant you a perpetual, non-exclusive, non-transferable license to use the specific deliverables created for your project for your business purposes. You own the final design and content, while we retain ownership of underlying tools, frameworks, and pre-existing code.
• Portfolio Use: You grant us the right to display your project in our portfolio and marketing materials as an example of our work.

4. Client Responsibilities

To ensure the success of your project, you agree to:

• Provide all necessary content (text, images, credentials) in a timely manner.
• Review deliverables and provide feedback within the agreed-upon timeframe.
• Ensure you have the legal right to use all content you provide to us.
• Delays caused by your failure to provide content or feedback may result in project timeline extensions.

5. Limitation of Liability

In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the site or services, even if we have been advised of the possibility of such damages.

Our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us during the six (6) month period prior to any cause of action arising.

6. SEO & Marketing Guarantees

While we use industry best practices, we do not guarantee specific search engine rankings, traffic numbers, or sales results. Search engine algorithms change frequently and are outside our control.

7. Dispute Resolution

These Terms shall be governed by and defined following the laws of the State of California. Any dispute arising out of or in connection with these Terms shall be resolved through binding arbitration in Orange County, California, except that either party may seek injunctive relief in court to prevent irreparable harm.
